THE VERY GOOD FOOD COMPANY RECEIVES NASDAQ NOTIFICATION REGARDING LATE FILING OF ITS FORM 20-F - REGAINS COMPLIANCE AS OF MAY 26, 2022
The Very Good Food Company Inc. was notified on May 20, 2022, by the Nasdaq Stock Market LLC that since the company had not yet filed its annual report on Form 20-F for the year ended Dec. 31, 2021, it was no longer in compliance with Nasdaq's listing rules for continued listing.
As disclosed in the company's Form 12b-25 with the U.S. Securities and Exchange Commission filed on May 3, 2022, as amended on May 17, 2022, the company had several key personnel changes, as well as key employee transitions in the accounting department, that caused delays during the company's certification and filing procedures resulting in the company being unable to timely file the Form 20-F. Accordingly, Nasdaq notified the company that it was not in compliance with Nasdaq listing rule 5,250(c)(1), which requires the company to timely file all required periodic financial reports with the SEC.
As of the date of this press release, the company has filed the Form 20-F, and as a result, it believes it has regained compliance with Nasdaq listing rule 5,250(c)(1).
