Bad news/ Good news

Bad news the stock is down again on the bogus report.

Good news my "add to position" order for $9.50 when the PR went out got filled today.

I expect a little more volitility before we head up again, but the fundamentals are strong and soon if there is no acquisition there will have to be a buyback at theses prices.

Trust me I know it can go a lot lower still, but I can't time stuff so I just buy at a price I am happy with (generally try to get it when oversold).  I find this usually works out good because it doesn't ususally stay oversold for a very long time.  I expect something will be announced soon, whether it is a buyback or something else.  Management wants the phantom share ...more

If the share price closes at a low at the end of Q2, will that reverse all the phantom share charges for the prior three quarters?  That would amount to .075 per share boost to quarterly income. That phantom share plan was a bad plan poorly executed.  It has cost the company by the wild volatility that it generates in the earnings. Yes I understand it.  It is mark to market, which basically means that the phantom share units are recorded at fair market value every Quarter.  So basically the formula would be: Opening balance add: units issued Less: units expired Less: Units vested = ending balance Expenses would be the change in share price multiplied by the change in th balance.  I can't calculate it ...more

So please explain this to me, many here for quite some time have said that Viemeds phantom share plan is flawed, and given it would seem factual reason's why the plan is flawed. So tell me why this management team refuse's to change it, surely they are also smart enough to figure out why it doesn't work. What is wrong with the CFO, is he stuck on stupid??? it's more complicated than that. It also gets prorated by time to vesting date..... For the Company’s phantom share units settled in cash, the Company computes the fair value of the phantom share units using the closing price of the Company's stock at the end of each period and records a liability based on the percentage of requisite service.

Co. used to disclose what the average exercise price was but no more. Since they grant these phantom shares in June each year I guesstimated the exercise price. Looks like shares granted in 2019 and 2020 May get little to no payout on their 1/3 vested this June. The 500,000 is the 3rd vesting out of 3 for the greedy mgmt grant in 2018.     $cdn ...more

If we look at the fair value liability component it is divided into current contract liabilities and long term contract liabilities. The shares that vest within 12 months would be included in current liabilities and those that vest outside of this time are included in long term liabilities. Another thing to think about. What happens to sga and fair value liability are related but still different. You can amortize a phantom share expense even prior to shares being fully vested. For example if shares vest over the next 12 months I am still able to recognize an sga expense from the amortization schedule even though nothing has been paid out. The co. never use to disclose the amount of SG&A that was phantom expense but started several qtrs ago. I think the analysts are hounding mgmt to be more transparent.

How toc alculate phanton shares. (see link below) To keep it simple: if the stock price goes up, the phantom compensation expesnes goes up. Not much more to it than that..... Phantom Stock Options - Accounting & Tax Treatment - Hogg, Shain & Scheck (hss-ca.com)

This should read:  (market price - grant price)* 700,000 +  (Market price - grant price)* unvested options* the amount that should be amortized for that quarter.  it is typical to use a straight line declining method which implies that a 2 year vesting schedule would be amortized by 1/2 per year or 1/2*1/4= 1/8 per quarter. They vest annually over a three year period.  What your saying isn't correct or else the expense of last quarter $2,465,000 would be much lower. A rough calcluation of last quarter's change Price 10.12-7.76 = 2.36 units (we would need the exact date that uints were expired, issued or forfeited) Average (this is rough because the exact dates are not known, exact dates should be used ...more

It's true that they have to follow a mark-to-market approach and that they must record a fair market value expense each quarter based on formulas under standard GAAP (FAS accounting rules).  And yes it can cause a lot of noise when the stock is volatile.  When times are good, and share price is climbing you have to up your current quarterly expense causing a bit of a head wind.   ...more

No worries about the phantom stock. The share price has declined and will continue to decline until the Inspector general scathing audit is resolved. Maybe look at the last CC, where MGT addresses it phantom shares?  To use phanton shares as an excuse for the S/P decline is to bury your head in the sand.  The issues are..."IMO".. 1.  Covid is no longer an issue looking ...more
