Adding almost 62 million shares (dilution)

Calculated with the following info:

"...$10 million in principal amount of convertible unsecured subordinated debentures...

Each $1,000 principal amount of the Debentures will be convertible at the option of the holder into 3,448.2759 units (each a "Unit") of Woulfe, representing a conversion price of $0.29 per unit (the "Conversion Price"). Each Unit will comprise one common share and one-half of one share purchase warrant (a "Warrant"). Each whole Warrant will entitle the holder to acquire one common share of the Company at a price of $0.29 per share for a period of 24 months following the closing of the Offering.

The Company has granted to Dundee an option to offer up to an additional 15% of the Offering, being $1,500,000 in principal amount of Debentures, at the issue price, exercisable in whole or in part at any time up to 48 hours prior to the closing date for the Offering.

The Company has agreed to pay Dundee a commission of 6.0% of the gross proceeds from the sale of the Debentures forming the Offering and to issue warrants ("Agent's Warrants) equal to 6.0% of the principal amount of Debentures issued in the Offering. The Agent's Warrants will entitle the holder, on exercise to acquire 6.0% of the principal amount of the Debentures sold at the issue price for a period of 24 months following the closing of the Offering."

Great calculation... you just forgot to mention one thing. If that happens the total amount of money received by Woulfe is closer to 18mln not 10mln, so let's compare apples to apples. This is basicly a financing over the market price with a 10% premium for that.   Always do your own DD For full disclosure I am long Woulfe

How were you able to obtain 62M in diluted shares ? I got 3,4482,759 sharesfrom $10M needed / $1000 per unit... times that by 3448.2759units that can be converted.

On 1,000 dollars the 3,448 units if you include the warrant that gets a half share the total is 5,172 shares.  On 10 million dollars the total will be 5,172 x 10,000 that will equal 51,720,000 shares

Note that Dundee is allow to offer an additional 15% which makes it $11.5 million. Adding half of $11.5 million in Warrant will make it $17.25 million (59,482,759 shares). Also, Dundee will receive 6% in warrant on top of the 6% commission. Adding the final 6% of $11.5 million(11.5 X 0.06 = 0.69 = $690,000) will end up with $17.94 million (which is the $18 million that mtlimpact talked about) ...more
