VOTE for PREFERRED SHARES - IMPORTANT WE VOTE!!

I am assuming everyone has received their voting documents in the mail by now.
Are we voting AGAINST the "Create Preferred Class of Shares" coming this March 7th? I am told by a broker and others that we would NOT want Preferred Shares.  What is the opinion from all of you? IT IS VERY IMPORTANT WE VOTE!!  I am voting AGAINST but I want to hear from all of you also.

I am for the Preferred Shares Structure; is there any other alternative??. IMC and Dundee Corporation are mainly protecting their Investment and avoiding addition  risk on their capital and simplifying things for IMC's Warren Buffett's group at a later date for a possible major takeover or doing busines with  WOF. You are right guerreiro... Do we really have a choice? Looks likely that Dundee will fund the additional required $5 million via this preferred shares mechanism. It is a necessary evil to get things on the right track, further dilution where Dundee benefits or the alternative -bankruptcy The share price has been manufactured this low so that Dundee could acquire as cheaply as possible. Reread the agreement, they'll take preferred OR common shares.  They wrote it that way in case the agreement for preferred shares didn't go through.

thank you reading the information and pointing out that voting against the preference does not mean we are against the funding.  I am not suggesting we cut off the nose to spite the face... the funding can still go through without the silly preference share.

ahrg: regarding your 'Dunde aquisition strategy' comment; there has been a strong pattern at the end of the trading day where WOF gets a flurry of buying activity within the last 20 minutes of trading with the last trade at 15:59:59. If Dundee is trying to keep the share price at .13, they have given up a HUGE % of their shares over the past few weeks, every time (which seems to happen everyday) that a few hundred thousand shares get bought up at .13 until there are hardly any left, a new batch of a couple hundred thousand get put up, we just can't break through that wall. Chizzles I joined the forum today because I was disgusted at the EGM resolutions and the terms fo the $4m debenture.  I don't know if you are a long time shareholder, but all the stars seem to be lining up- a little too coincidentally- for Dundee to pick up large % of shares in a very short time and at a very low price.  As a shareholder I would like a board who puts their efforts ...more

It's all about managing risk for Dundee, NOT the common shareholders, despite their own stake.  Preferred shares are something Woulfe had long said it would never have, and I don't see any reason to reverse the logic in that decision.  Further the proposal as stated would leave open the door to assigning asymetric voting rights to those preferred shares at a later date, and way ...more

Of course there is an alternative!!  if the dundee controlled board insist on the need for the funding then it should happen on terms that a commercially tolerable to the majority of shareholders. Asserting that we have no other choice, undermines what rights we have as shareholders.  Voting against terms of funding does NOT mean we are blocking the funding. ...more

Think this through. We need the pfd shares to get the $4 mill from Dundee. This gives WOF $6 mill in total for the work needed to get IMC to do the deal for 25% of the project.  So, every vote counts and if we don't get the pfd shares, that means no $4 mill, which means no IMC deal. So, you can tell how I'm voting - YES !

I don't like the preferred shares deal.. Too rich and stacked in favour of Dundee but I doubt if retail vote will count for much unless other major share holders are not aboard which I doubt.. Bottomline.. I may or may not bother to vote.. FWIW..

If other major shareholders not affiliated with IMC, Dundee, or the Koreans can come up with a logical reason why this measure should be supported, and I'm talking common stock holders not any of those slated to get preferred shares, then I suppose it's what we have to do, but if there's a well reasoned counter point in the document, an argument from the loyal opposition, as to why ...more

If you actually look at the documents the vote is not in regards to the $4million financing. It is not a raitification of it.  It is for the creation of a new class of securities that impacts all shareholders, hence the need for a shareholder vote. The impact is detrimental... and I'm sure I dont need to explain why.  The vote only pertains the optionality of the debenture, not the ...more

Woulfe Mining shareholders need to be fully prepared to seek legal action action against the company and board of directors if this turns into one big dilution scheme/scam.

No, I haven't, and I find it VERY annoying . . .  I hold Woulfe under WFEMF with ETrade and so far I haven't received document ONE from them about voting my shares . . .   Know who I should talk to at Woulfe to make sure they get voted?
