Merger of Almonty / WOF

A few few things need to be looked at from a more realistic / pragmatic point of view.

Numerous board members are highlighting that we are now all "screwed" since Almonty will merge/takeover WOF with a low ball offer. Its not that simple for them.....

Amonty will certainly have a fair chance in obtaining control of WOF by taking over 51% of the shares; there will always be shareholders who sell at the first offer.

But please keep in mind, Almonty taking control of WOF would certainly be the best that could happen. They are evidently the ones that can bring this mine into production. So personally I hope they succeed in taking over control soon.

To go even further, should Almonty ultimately want full ownership they initially have to obtain at least 90% of all shares. They will certainly not be able to achieve this with a low ball offer. I personally own approx. 1,5% of the outstanding shares (without further details I will certainly not accept anything lower than 0.2 CAD), so only another 8,5% of dissenting offeres are needed from all the other shareholders to stop them from initiating a squeeze-out transaction. That can be achieved by the majority of small shareholders or just one additional major shareholder.

As you can see, we are far from being forced to accept any low ball offer. 

Unless they do not provide us a serious offer (based on real value, NPV) I expect to become a shareholder in the future merged company of Almonty/WOF; which I can gladly accept.

As usual we have not been given much and we dont know whats happening in the background, but with what we know now I consider us having a brighter futuer ahead of us than a few weeks ago.

Great post Lonade. Always enjoy reading what you have to say. If Dundee was offered equivalent to 0.056 per Woulfe share, and they accepted, how can we get 0.20? Does Almonty even have enough to give up to give us equal to 0.20 a share? I am not trying to be negative, as I've said in the past, I really like what Almonty has to offer, I am just not sure we get as much value for our shares as we ...more

I got around 860k or so and I'll vote owith you on a no sell on an offer less than 0.2 CAD I only have a bite more than .2%, but between all of us I bet we come up with control of alot more shares than the 5% or so we mustered the last time we had to stamp on management.

Thanks Lonade. I didn't know that Almonty needed 90% of all shares to have full control. I thought that with 51% of all shares they would have the power to do pretty much what they wanted to do.

It is correct that with 51% they can mostly do what they want. But in these cases the company does try to obtain all outstanding shares (if they have the cash to do so); so they dont need to share a piece of the pie with anybody else. Meaning if they should start paying divind one day, they don't need to give away 49% to other shareholders. So in order to obtain all 100%, their first goal ...more

Thank you Lonade. So basically you are saying that you would accept 0.20 per share, but that wouldn't be in exchange for Almonty shares, they would straight out purchase our shares for that price. But at that point we are just out completely? Or am I misunderstanding? IF that was the case, I think I would rather get a value of the original 0.08 offer, but own Almonty shares instead to ...more

Chizzles, yes you did misunderstand me or I was not clear enough.... I would be thrilled to receive 0,20 CAD in shares of Almonty, but that will simply not happen; the value of the WOF shares would be higher than the Almonty ones. I certainly do not want only a cash offer, since I want to stay invested in this company just like you. So the only way I see them providing any suitable offer on the ...more

I don't think a merger will happen, nor do I think they will propose one either........ Based upon the information from Ormonde's investigation, Almonty's mines are at the end of their life. This is the reason for Almonty's multiple attempts to aquire another mine over the past year.  Secondly, seeing one CEO move from one company to another is normal, but (IMO) seeing the ...more

The problem with this logic is that it presupposes that Almonty, or the Almonty shareholders, have figured out a way to profit from Woulfe and Sangdong, where aside from the minimal diversificaton offered by the recent stock swap between Dundee and Almonty, I'm not seing any economic activity that justifies that stance unless and until the Almonty share holders start to directly buy Woulfe ...more
