Information Circular Update

CALGARY, ALBERTA--(Marketwired - Feb. 11, 2016) - Long Run Exploration Ltd. ("Long Run" or the "Company") (TSX:LRE) is pleased to announce that Glass Lewis & Co. ("Glass Lewis") has recommended that shareholders vote in favor of the arrangement involving Long Run, Long Run securityholders and Calgary Sinoenergy Investment Corp. (the "Arrangement"). Glass Lewis is widely recognized as a leading independent proxy voting and corporate governance advisory firm, whose analyses and recommendations are relied upon by many major institutional investment firms, mutual funds and fiduciaries throughout North America.
 
After an extensive review of the Company's strategic and financial options to improve its capital structure, Long Run's Board of Directors and management believe that pursuing the Arrangement is in the best interest of Long Run and its stakeholders. Long Run's Board of Directors unanimously recommends that shareholders and debentureholders vote in favor of the Arrangement.
 
Long Run has scheduled a special meeting (the "Special Meeting") of securityholders to vote on the Arrangement to be held at 2:00 pm (Calgary time) on February 29, 2016 at the Livingston Place Conference Centre, 222 - 3rd Avenue SW, Calgary, Alberta. Securityholders may attend the Special Meeting in person or be represented by proxy. Further details can be found in Long Run's information circular and proxy statement dated January 29, 2016 (the "Information Circular") filed on SEDAR.
 
The Company also announces that it has filed and is mailing an addendum (the "Addendum") to its Information Circular, which was mailed to Long Run securityholders. The Addendum includes the written fairness opinion of Macquarie Capital Markets Canada Ltd. which was not included in the Information Circular as a result of a clerical error made on compiling the Information Circular.

Another postive brick in the wall.  It is clear that Sprott is also backing the deal or things would have never come this far so the chances of this deal closing at .52 are getting better and better each day

Uograd: How so is it clear Sprott is backing the plan to arrangement? I sense desperation on the part of LRE mgt. for this deal to please the lenders & to sell out the shareholders & debenture holders. My take is that this arrangement is very iffy. Why should the vast, vast majority of shareholders & debenture holders suffer losses so that the limited very, very few penny ...more

Reflect, are you planning to vote "no"? If many people vote "no", we'll go back to $0.12. For $0.52, even if you have only 1,000 shares, $520 ..at least have some meals. IMO Vote "yes", at least LRE employees can keep their jobs.

If I had my way I'd fire the entire LRE mgt. team without compensation of any kind.

You can bet your bottom dollar that Sprott was in the room when Sino made its offer or at least when LRE agreed to it. Sportt are the kingholder here and can approve or kibosh any deal so clearly for it first to be signed by LRE and Sino and secondly and even more importantly for the banks to extend their covenants you know Sprott is on side and their shares are already locked up. And I guess all the insider trading is backing this up. Just look at LRE shoot up with the done deal. Let's hear from the shareholders & debenture holders who stand to lose how happy they are. And yet, the Chinese can walk away from this plan of arrangement anytime - this vote is all about the shareholders losing leverage & accepting defeat wthout really negotiating for a better deal. ...more

UOGRAD: "You can bet your bottom dollar that Sprott was in the room when Sino made its offer or at least when LRE agreed to it." ...especially when Sprott President & CEO Stephen Yuzpe is on LRE's Board of Directors. Sprott owns 23,000,000 LRE shares but is considered an independent. Lol.

Don't think about buying more shares - just buy. In fact borrow money to buy & if you own a house, mortgage it & tell your friends to buy LRE. Easy money. All the brokers must have a Buy to Strong buy rating. Easy money - so keep buying.

We received our circular this morning (I live just north of T.O.). Voted all our shares 'FOR' online. Took about 2 minutes. Sprott's broker code is 73 and this number has not appeared in the sell (or buy) side of the trading activity since I started monitoring for this a while ago.

Yep, and you loose to. This is just negotiations to see who blinks first. I guess Andrew & the LRE team will agree to anything as long as they win. They are pushing the vast number of shareholders under the bus. They created this mess & now are getting away unscathed.

sold the Debs today at 67.  Check my posts, was in on the Debs at 33.  Doubled up and made wcw bend the knee along the way. Reason for selling: Taking a 1 month extension doesn't give me the warm & fuzzies.  I don't have any info one way or the other but taking a step back I decided to cash in and leave about 20% on the table and go over to BNK to chase the 10%.
