NRG Energy (NYSE: NRG, Stock Forum) announced Monday morning that it has received an unsolicited proposal from Exelon Corporation (NYSE: EXC, Stock Forum) to acquire all of the outstanding shares of New Jersey-based power company NRG in an all-stock exchange transaction. The exchange would be .485 share of Exelon for each share of NRG.

A report from MarketWatch identified the premium being offered to NRG as roughly 37%, and stated that the deal, if it went through, would create the largest power company in the U.S. Shares of NRG closed Friday at $19.33, while Exelon closed at $54.50.
