Clarke announces extension for delivery of proxies for Debentureholder Meeting and rescheduling of Meeting
HALIFAX, Jan. 8, 2013 /CNW/ - Clarke Inc. ("Clarke") (TSX: CKI CKI.DB.A)
announced today that it is extending the date for delivery of proxies
for its upcoming meeting (the "Meeting") of holders
("Debentureholders") of its 6.00% convertible unsecured subordinated
debentures due December 31, 2013 (the "Debentures") and rescheduling
the Meeting originally planned for January 10, 2013. The Meeting has
been rescheduled in order to give more time for Debentureholders to
deliver their proxies and vote on the proposed amendments to the
Debentures announced on November 13, 2012.
To date, 40% of Debentureholders have delivered proxies in respect of
the Meeting of which, 64% have voted in favour, 35% have voted against,
and 1% have withheld their votes for the proposed amendments to the
Debentures. Management encourages those who have not submitted their
votes to vote in favour of the proposed amendments to the Debentures.
Management also encourages those Debentureholders who have voted
against the proposed amendments to reconsider voting in favour as the
$6 per $1000 principal amount consent fee will only be paid to those
Debentureholders who vote in favour of the Debenture Amendments and
soliciting dealers will only be entitled to receive the $4 per $1000
principal amount soliciting dealer fee in respect of Debentures voted
in favour of the proposed amendments (in each case subject to the terms
and conditions described in the management information circular
relating to the Meeting).
The Meeting is now rescheduled to be held on January 25, 2013 at 10:00 a.m. (Atlantic Daylight Time) at 6009 Quinpool Road, 9th
Floor, Halifax, Nova Scotia B3K 5J7. Votes must be cast no later than January 23, 2013 at 10:00am in accordance with the instructions set out in the
management information circular and related materials that were sent to
Debentureholders in December. A copy of the management information
