AES Announces Pricing of Additional $250 Million of Senior Notes in Public Offering

The AES Corporation (NYSE: AES) announced that it has priced an additional $250 million aggregate principal amount of its 4.875% senior notes due 2023 (the “Notes”). The Notes will form a single series with the $500 million aggregate principal amount of 4.875% senior notes due 2023 issued by AES on April 30, 2013 (the "Existing Notes"). AES intends to use the net proceeds from the offering of the Notes and the Existing Notes, as well as, if necessary, other available funds, to fund its previously announced tender offers to purchase for cash certain series of AES’s outstanding senior notes and to pay certain related fees and expenses. If any net proceeds from the offering of the Notes and the Existing Notes remain after completion of the tender offers, AES intends to use such proceeds to retire certain outstanding indebtedness and for general corporate purposes. The closing of the offering of the Notes is expected to occur, subject to certain customary conditions, on May 17, 2013.

This press release does not constitute an offer to sell or a solicitation of an offer to buy any securities, nor does it constitute an offer, solicitation or sale in any jurisdiction in which such offer, solicitation or sale is unlawful. An effective shelf registration statement related to the Notes has previously been filed by AES with the Securities and Exchange Commission (the “SEC”). The offering and sale of the Notes are being made only by means of a prospectus supplement dated May 14, 2013 and an accompanying base prospectus dated February 27, 2013 related to the offering, copies of which may be obtained from Morgan Stanley & Co. LLC, Attn: Prospectus Department, 180 Varick Street, 2nd Floor, New York, New York 10014, by calling (866) 718-1649 or by emailing prospectus@morganstanley.com.
