Hot Topic and certain of its senior executives are charged with issuing a series of materially false and misleading statements in violation of federal securities laws and breaching fiduciary duties owed to Hot Topic shareholders in connection with the proposed takeover of Hot Topic by Sycamore Partners Management, L.L.C. and its affiliates 212F Holdings LLC and HT Merger Sub Inc. ("Sycamore Partners").
