announce that it has appointed Ben Pickering as its new President and
Chief Operating Officer effective as of October 1, 2013. George Fleming
will resign as President of the Company but will remain its Chief
Executive Officer.
Mr. Pickering’s responsibilities will include oversight of the Company’s
current operations and business development initiatives, with a
particular focus on the sales and marketing of SoMedia’s cloud-based
video content production, marketing and engagement analytics platforms.
Mr. Pickering possesses more than 15 years of experience in the online
media and software industries, and has worked with both start-ups and
Fortune 500 companies. He most recently served as Chief Executive
Officer at Strutta, where he built the company into a leading SaaS
social media marketing platform. He established Strutta as an early
Facebook Preferred Developer, serving agencies and brands such as Crate
& Barrel and Disney, and developed the company's strategic partnership
with ExactTarget, part of Salesforce.com (NASDAQ: CRM).
Prior to joining Strutta, Mr. Pickering held several strategic roles at
Yahoo! (NASDAQ: YHOO), where his responsibilities included business
development, product strategy, and operations in both the Audiences and
Advertising divisions. Mr. Pickering also served in the strategic
partnerships group at eBay (NASDAQ: EBAY), and was an early employee at
Spinway, a pioneering free Internet service provider that was later
acquired by United Online (NASDAQ: UNTD).
Mr. Pickering currently sits on the Board of Directors for privately
held Embarcadero Media, and has also served as an advisor to a number of
early stage technology companies including Summify, a social news
aggregator that was later acquired by Twitter. He was recently named a
Top 40 Digital Strategist by the Online Marketing Institute and has
contributed extensively on the topic of digital and social media for
such websites as the Huffington Post and Mashable. He holds both an
Economics degree and an MBA from Stanford University.

As part of Mr. Pickering’s compensation package the Company will grant
him 390,000 stock options, with each option to purchase one common share
of the Company at an exercise price of $0.85 each, with the initial 1/6
vesting in 6 months, and the remaining 5/6 vesting in equal increments
quarterly for a period of 30 months.
