Edwards Lifesciences Prices $600 Million of Senior Notes
IRVINE, CA--(Marketwired - Sep 24, 2013) - Edwards Lifesciences Corporation (NYSE: EW), the global leader in the science of heart valves and hemodynamic monitoring, today announced that it has agreed to sell $600 million aggregate principal amount of 2.875 percent senior unsecured notes due Oct. 15, 2018 at a price equal to 99.498 percent of the principal. The sale of the senior notes is expected to close on Oct. 3, 2013, subject to customary closing conditions.
The company intends to use the net proceeds from the offering to repay amounts outstanding under its revolving credit facility and any remaining proceeds for general corporate purposes. The joint book-running managers for the offering are Merrill Lynch, Pierce, Fenner & Smith Incorporated, Goldman, Sachs & Co. and Morgan Stanley & Co. LLC.
The notes will be offered pursuant to an effective automatic shelf registration statement on Form S-3 filed on Sept. 6, 2013, with the Securities and Exchange Commission (the "SEC").
