In a recently filed federal class action complaint, Unilife and certain
of its officers and directors were charged with violating certain
provisions of the Securities Exchange Act of 1934. Specifically, the
complaint alleges that among other things, defendants misrepresented
and/or failed to disclose that: (i) the Company’s Unifill syringes did
not comply with the FDA’s validation processes; (ii) the Company’s
Quality Management System failed to comply with FDA regulations; (iii)
the Company intentionally increased its purchases of Unifill component
parts to make suppliers believe that Unilife was producing at increased
volumes despite the fact that there was no customer demand or
manufacturing capacity to support such purchases; and (iv) as a result
of the foregoing, the Company’s statements were materially false and
misleading at all relevant times. According to the complaint, when the
truth was revealed, Unilife’s stock declined dramatically.
