Opsens Inc. (TSX VENTURE:OPS) (the "Company" or "Opsens") is pleased to announce the filing of an amended and restated preliminary short form prospectus to provide additional details on its previously announced proposed marketed offering of units (the "Units"). The Company is now offering up to 10,666,700 Units at a price of $0.75 per Unit or up to 10,959,000 common shares in its share capital (the "Common Shares") at a price of $0.73 per Common Share or any combination thereof for gross proceeds of up to approximately $8,000,000 (the "Offering"). The Offering will be conducted through a syndicate of underwriters led by RBC Capital Markets and including Paradigm Capital Inc. (the "Underwriters").
Each Unit consists of one common share in the capital stock of Opsens and one-half of one common share purchase warrant, with each whole common share purchase warrant entitling the holder thereof to purchase one common share at a price of $1.05 per Common Share within 24 months from the initial closing date of the Offering.
The Company has also agreed to grant the Underwriters an option to cover over-allotments, if any, and for market stabilization purposes (the "Over-Allotment Option"), which will allow the Underwriters to purchase that number of additional Common Shares or Warrants or any combination thereof equal to up to 15% of the number of Warrants or Common Shares sold pursuant to the Offering at a price of $0.73 per additional Common Share and of $0.04 per additional Warrant. The Over-Allotment Option may be exercised, in whole or in part, at any time up to 30 days after the closing of the Offering.
The Company intends to use the net proceeds of the Offering to prepare the commercialization and marketing strategy of its Fractional Flow Reserve ("FFR") products, to fund research and product development and to fund its working capital.
The Offering is being made pursuant to a short form prospectus filed in each of the provinces of Québec, Ontario, Alberta and British Columbia. A copy of the preliminary short form prospectus is available on SEDAR at www.sedar.com.
The Offering will be priced in the context of the market with the final terms of the Offering to be determined at the time of pricing. The Offering is expected to close on or about February 18, 2014 and is subject to certain customary conditions and regulatory approvals, including the approval of the TSX Venture Exchange and the entering into by the Company and the Underwriters of an underwriting agreement.
