(NYSE and NYSE Euronext: CSTM) ("Constellium" or the "Company") announced today that an affiliate of Apollo Global Management, LLC (NYSE:APO) (the "selling shareholder") has agreed to sell approximately 25,000,000 Class A Ordinary Shares of the Company in an underwritten offering. The Company will not sell any shares in the offering and will not receive any proceeds from the offering. Goldman, Sachs & Co. will act as underwriter for the offering. In connection with the offering, the Company and the directors, officers and certain shareholders of the Company have agreed not to offer or sell any Class A Ordinary Shares of the Company for a period of 30 days from the date hereof, subject to certain exceptions.
