TORONTO, ONTARIO--(Marketwired - April 29, 2014) -
NOT FOR DISTRIBUTION TO UNITED STATES NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATES
Sherritt International Corporation ("Sherritt" or "the Corporation") (TSX:S) today advised shareholders to simply ignore dissident nominee George Armoyan's latest false and inflammatory communication.
Sherritt obviously takes great exception to Mr. Armoyan's characterization of the facts but does not intend to rehash these issues yet again. Sherritt is disappointed by Mr. Armoyan's propensity to continue to make reckless and unfounded allegations, which is neither consistent with serving as a director of a large, multinational corporation such as Sherritt, nor in the interests of shareholders.
Sherritt recommends that shareholders rely on the well-reasoned and objective advice provided by leading independent proxy advisory firms Institutional Shareholder Services and Glass, Lewis & Co. Representatives of ISS, before making their recommendations, spoke to Sherritt's President and CEO David Pathe and Sherritt's Chairman Hap Stephen as well as to Mr. Armoyan or his representatives. Both firms carefully reviewed all public disclosure and recommended voting FOR Sherritt's director nominees on the BLUE proxy and AGAINST Mr. Armoyan and his other nominees.
Proxy Voting Instructions
Regardless of how many Sherritt shares you own, it is important you vote your BLUE proxy. Even if you have already voted using the Green Dissident form of proxy, you can still change your vote by voting the BLUE proxy, as only the latest dated proxy will be counted at the meeting.
We encourage shareholders to vote the control number found on your BLUE proxy FOR Sherritt's nominees, no later than 5:00 p.m. (Toronto time) on Friday, May 2, 2014.
