EDMONTON, ALBERTA--(Marketwired - June 20, 2014) - CSM Systems Corp. (TSX VENTURE:CKX)("CSM" or the "Corporation") announces that it is pleased to have received an Order dated May 27, 2014 from the Court of Queen's Bench of Alberta extending the date for the Corporation to hold its Annual General Meeting ("AGM") of shareholders for the years ended September 30, 2011 and September 30, 2012 to July 31, 2014. CSM had issued a news release dated May 12, 2014, announcing that it will be holding a meeting of its shareholders on July 18, 2014. On May 21, 2014 the Corporation issued a Notice of Meeting and Record Date which is filed on SEDAR which sets out the AGM date and Record Date of July 18, 2014 and June 15, 2014 respectively. The Notice of Meeting was subsequently amended on May 27, 2014 to reflect a change in the type of meeting from Annual General Meeting to Annual and Special Meeting.
The Corporation is issuing this news release at the request of the TSX Venture Exchange Inc. (the "Exchange"). Pursuant to Section 4.1 of the Exchange's Policy 3.2, Filing Requirements and Continuous Disclosure, CSM was required to hold an AGM of its shareholders within 15 months of the previous AGM. The Corporation did not satisfy of the Exchange's Requirements for holding an AGM for the second time since CSM last held a meeting of its shareholders on April 11, 2012. The Corporation has provided an undertaking to the Exchange that it will hold its future AGMs within the time period required by the Exchange's Policies.
