Logitech International (SIX: LOGN) (Nasdaq: LOGI) today announced that
the SIX Swiss Exchange has granted the Company an extension – until Dec.
3, 2014 – for publishing and submitting its Annual Report for Fiscal
Year 2014. Logitech’s Annual Report was originally scheduled to be
published by July 31, 2014, and the SIX Swiss Exchange had previously
granted an extension until Oct. 31, 2014.
As previously disclosed, Logitech’s Audit Committee, with the assistance
of independent advisors, was conducting an independent investigation of
certain accounting matters related to the Company’s previously issued
financial statements. With the investigation now closed, Logitech is
performing the necessary work to complete and file its Annual Report for
FY 2014, Annual Report on Form 10-K for FY 2014 and Quarterly Reports on
Form 10-Q for Q1 and Q2 FY 2015. The Company intends to file these
reports as soon as possible to regain compliance with SIX Swiss Exchange
and Nasdaq listing requirements.
The SIX Swiss Exchange has requested that Logitech publish the following
information:
I. The application of Logitech International S.A. of 10 October 2014
regarding the grant of an extension of the deadline to publish and file
its annual report 2014 until 3 December 2014 is granted (as a final
extension) until Wednesday, 3 December 2014, 07.30 am CET, at the
latest. In case Logitech International S.A. files the 2014 Form 10-K in
the U.S.A. prior to Wednesday, 26 November 2014, Logitech International
S.A. is required to publish the annual report 2014 and file it with SIX
Exchange Regulation at the latest seven days after the filing of the
2014 Form 10-K. This grant is made under the following reservation (lit.
a) and under the following condition (lit. b):
I.a. SIX Exchange Regulation reserves the right to suspend the trading
in the shares in (of) Logitech International S.A. (i) in case the annual
report 2014 is not published until (by) Wednesday, 3 December 2014,
07.30 am CET, at the latest, or (ii) in cased the annual report 2014 is
not published seven days after filing of the 2014 Form 10-K, if it is
filed in the U.S.A. prior to Wednesday, 26 November 2014. The
publication of the annual report 2014 has to be made in accordance with
the provisions regarding ad hoc publicity (art. 53 of the Listing Rules
[LR] in connection with the Directive on Ad hoc Publicity [DAH]).
I.b. Logitech International S.A.is required to publish a notice in
accordance with the provisions regarding ad hoc publicity until (by)
Thursday, 30 October 2014, 07.30 am CET, at the latest (art. 53 LR in
connection with the DAH). The ad hoc notice must contain a reproduction
of the wording of cif. I of this decision.
