High North Resources Ltd. (TSX VENTURE:HN) (the "Company" or "High North") is pleased to announce that it has today successfully closed the previously announced private placement of 12,915,146 common shares issued on a "flow-through" basis under the Income Tax Act (Canada) ("Flow-Through Common Shares") at a price of $0.17 per Flow-Through Common Share, for aggregate gross proceeds of $2,195,574.82 (the "Offering").
The Flow-Through Common Shares are subject to a hold period which expires four months from the date of closing.
High North will initially use the proceeds from the Offering to fund the Company's exploration and development program, including funding expenditures that qualify as "Canadian Exploration Expenses" (as defined in the Income Tax Act (Canada)), which will be renounced to subscribers for the Flow-Through Common Shares for the 2014 taxation year.
In connection with the Offering, the Company paid finder's fees to three arm's length finders in the total amount of $86,732.09, representing 6% of the gross proceeds raised from Flow-Through Common Shares sold to subscribers introduced to the Company by the finders.
Completion of the Offering is subject to receipt of final acceptance of the TSX Venture Exchange.
