WPT Industrial REIT Announces US$86.25 Million of Property Acquisitions and Bought Deal of US$40.5 Million of Trust Units

TORONTO, ONTARIO--(Marketwired - Jan. 8, 2015) -

NOT FOR DISTRIBUTION IN THE UNITED STATES OR OVER UNITED STATES WIRE SERVICES

WPT Industrial Real Estate Investment Trust (TSX:WIR.U) (the "REIT") announced today that it has entered into a purchase and sale agreement with a third party vendor to acquire a portfolio of six industrial properties (the "Properties") for an aggregate purchase price of approximately US$86.25 million (exclusive of closing costs and acquisition fee), representing a capitalization rate of approximately 7.1% (the "Acquisition"). The Properties consist of six distribution facilities, located in Memphis, Tennessee totaling over 2.3 million square feet and are 100% leased to 11 tenants. Leases for 10 of the 11 tenants are net leases. The Acquisition is expected to close on or about February 5, 2015.

"We are excited to make a significant entry into the Memphis industrial market with the acquisition of these six class A, institutional quality distribution facilities", commented Scott Frederiksen, Chief Executive Officer of the REIT. "The Properties are modern, highly-functional buildings, with the majority featuring 32' ceiling clear heights and ample truck courts, trailer parking and ESFR fire protection. The Memphis industrial market is one of the most important industrial centres in the U.S., and, as such, consistently attracts a full-spectrum of industrial users. Furthermore, the Acquisition is expected to be immediately accretive to the REIT's FFO and AFFO per unit and is also expected to lower the REIT's payout ratio."

The REIT also announced today that it has entered into an agreement to sell to a syndicate of underwriters co-led by RBC Capital Markets and CIBC, on a bought deal basis, 3,750,000 trust units ("Units") at a price of US$10.80 per Unit (the "Offering Price") for gross proceeds to the REIT of US$40,500,000 (the "Offering"). The REIT has granted the underwriters an option (the "Over-Allotment Option"), exercisable for a period of 30 days following the closing of the Offering, to purchase up to an additional 562,000 Units to cover over-allotments, if any. The Offering is expected to close on or about January 28, 2015.

Net proceeds of the Offering (after deducting the underwriting fee and estimated offering expenses) will be used by the REIT to partially fund the Acquisition and for general trust purposes. In the event that the Offering is completed but the Acquisition is not completed, the aggregate net proceeds of the Offering will be used by the REIT to fund future acquisitions, the repayment of indebtedness and for general trust purposes.

The Units will be offered in Canada pursuant to a short form prospectus to be filed with the securities commissions and other similar regulatory authorities in each of the provinces and territories of Canada, pursuant to National Instrument 44-101 - Short Form Prospectus Distributions.

The Offering is subject to certain conditions, including, but not limited to, receipt of all necessary regulatory approvals, including the approval of the Toronto Stock Exchange. The Acquisition is subject to certain conditions and there can be no assurance that the Acquisition will be completed on its terms or at all. The REIT continues to actively pursue acquisition and investment opportunities.

Overview of the Acquisition

The Acquisition will be financed with the net proceeds from the Offering and approximately US$51.75 million of new property-level mortgage debt in respect of the Properties with an expected interest rate of approximately 3.0%.

Eastpark I

Eastpark I is a cross-dock distribution facility, built in 1999, with approximately 888,262 square feet of GLA and a ceiling clear height of 32 feet. It is 100% leased to United Stationers, Pacific Paper Products, and Expeditors, with a remaining weighted average lease term of approximately 2.2 years.

Eastpark II

Eastpark II is a cross-dock distribution facility, built in 2000, with 338,000 square feet of GLA and a ceiling clear height of 32 feet. It is 100% leased to Bryce Corporation, with a remaining lease term of approximately 6.4 years.

Chickasaw A

Chickasaw A is a rear-load distribution facility, built in 2000, with 108,250 square feet of GLA and a ceiling clear height of 24 feet. It is 100% leased to TricorBraun, PSS World Medical Inc., UPS, and Linkex, with a remaining weighted average lease term of approximately 3.1 years.

Chickasaw H

Chickasaw H is a rear-load distribution facility, built in 2000, with 283,756 square feet of GLA and a ceiling clear height of 30 feet. It is 100% leased to HD Supply, with a remaining lease term of approximately 5.4 years.

Southpoint IV

Southpoint IV is a side/rear-load distribution facility, built in 1998, with 60,000 square feet of GLA and a ceiling clear height of 28 feet. It is 100% leased to CEVA Freight, with a remaining lease term of approximately 4.4 years.

Southpoint XIX

Southpoint XIX is a cross-dock distribution facility, built in 2001, with 648,750 square feet of GLA and a clear height of 32 feet. It is 100% leased to CEVA Logistics, with a remaining lease term of approximately 1.3 years.

Non-IFRS Measures
