concerning its disclosure of misleading financial statements.
In October 2014, the Company appointed a special board committee which
would investigate a federal grand jury subpoena served upon the
Company’s accountants, in addition to certain alleged wrongdoing raised
by a former employee of the Company. Medbox has since received subpoenas
from the federal grand jury and the Securities and Exchange Commission.
Upon its investigation, on December 30, 2014, Medbox announced that its
financial statements for the year ended December 31, 2013, the third and
fourth quarters of 2013, and the first three quarters of 2014 will have
to be amended and restated. As part of the Company’s internal
investigation it will also review its financial statements for 2012 and
the first two quarters of 2013.
