(http://pyrogenesis.com) (TSXV: PYR), a TSX Venture 50® clean-tech company (the "Company" or "PyroGenesis") that designs, develops, manufactures and commercializes plasma waste-to-energy systems and plasma torch products, announced today that as a result of the Company's annual compensation review, its Board of Directors has approved the grant of up to 2,680,000 incentive stock options (each an "Option") to its directors, officers, and certain employees of the Company.
PyroGenesis has granted an aggregate of 1,610,000 Options to its directors and officers entitling them to purchase an aggregate of 1,610,000 Common Shares of the Corporation, at a price of $0.30 per common share. Of these Options, 1,210,000 will vest as follows: 25 percent at the date of the grant, 25 percent at the first anniversary of the date of grant, 25 percent at the second anniversary of the date of grant, and 25 percent at the third anniversary of the date of grant. The remaining 400,000 will vest as follows: 10 percent as of the date of grant, 20 percent at the first anniversary of the date of grant, 30 percent at the second anniversary of the date of grant and 40 percent at the third anniversary of the date of grant.
PyroGenesis has also granted an aggregate of 1,020,000 Options to certain employees entitling them to purchase an aggregate of 1,020,000 Common Shares of the Corporation, at a price of $0.30 per common share. Of these Options, 1,000,000 will vest as follows: 25 percent as of the date of grant, 25 percent at the first anniversary of the date of grant, 25 percent at the second anniversary of the date of grant and 25 percent at the third anniversary of the date of the grant. The remaining 60,000 will vest as follows: 10 percent as of the date of grant, 20 percent at the first anniversary of the date of grant, 30 percent at the second anniversary of the date of grant and 40 percent at the third anniversary of the date of grant.
All Option grants disclosed above are exercisable for a period of five years and have been granted in accordance with the Company's Stock Option Plan. The grant remains subject to regulatory and Exchange approval.
