READING, Pa., April 6, 2015 /PRNewswire/ -- EnerSys (NYSE: ENS) announced today that it intends to offer, subject to market and customary conditions, $300 million aggregate principal amount of senior notes due 2023 (the "Notes"). The Notes will be unsecured, unsubordinated obligations of EnerSys and will be guaranteed by each of EnerSys' subsidiaries that is a guarantor under EnerSys' existing senior secured credit facilities.
EnerSys intends to use the net proceeds from the offering to redeem, settle, repurchase or otherwise repay and retire in full the approximately $172.4 million principal amount of EnerSys' outstanding 3.375% convertible notes due 2038 (the "Convertible Notes"), with the remaining net proceeds to be used to pay the premium on the Convertible Notes, partially repay outstanding revolving loans under its existing senior secured credit facilities and/or for general corporate purposes. However, EnerSys may elect to repay the premium on the Convertible Notes using cash, shares of its common stock or a combination thereof.
The Notes and the related guarantees have not been, and will not be, registered under the Securities Act of 1933, as amended (the "Securities Act"), or any applicable state or foreign securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and applicable state securities laws. The Notes will be offered in the United States only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act and outside the United States to non-U.S. persons pursuant to Regulation S under the Securities Act.
