today that the nominees listed in the management proxy circular dated
March 10, 2015, were elected as directors of CN. The detailed results
of the vote for the election of directors held at CN's Annual Meeting
of Shareholders on April 21 in Memphis are set out below.

directors. Mr. Pace, who joined CN's board in 1994, is president and
