(“AudioEye” or the “Company”) (OTCBB:AEYE) between May 5, 2014 and April 1, 2015, inclusive (the “Class Period”), alleging violations of the Securities Exchange Act of 1934 against the Company and certain of its officers (the “Complaint”).
The Complaint alleges that during the Class Period, the defendants made false and/or misleading statements and/or failed to disclose that: (1) AudioEye's financial statements contained false statements as to the classification of revenues and expenses; (2) the Company lacked proper internal controls over its financial reporting; and (3) as a result of the foregoing, the Company's financial statements were materially false and misleading during the relevant time period.

In addition, AudioEye announced that its preliminary earnings release issued by the Company on January 12, 2015 relating to the quarter and year ended December 31, 2014 should no longer be relied upon. Finally, the Company also stated that Edward O'Donnell had resigned as the Company's Chief Financial Officer.
