MORRISVILLE, N.C., June 29, 2015 /PRNewswire/ -- As previously announced on May 27, 2015, the shareholders of Alliance One International, Inc. (NYSE: AOI) approved a 1-for-10 reverse stock split of the Company's common stock, which became effective after the close of all trading on Friday, June 26, 2015. Consequently, on Monday, June 29, 2015, the Company's common stock began trading on the split-adjusted basis.
As a result of the reverse stock split, every 10 shares of Alliance One common stock outstanding have been combined into one share of Alliance One common stock, reducing the number of outstanding shares of the Company's common stock from approximately 88.6 million shares to approximately 8.86 million shares. This change does not affect any shareholder's rights.
No fractional shares were issued in connection with the reverse stock split. Instead, Alliance One issued one full share of the post-reverse stock split common stock to any shareholder who would have been entitled to receive a fractional share as a result of the reverse stock split. Each common shareholder will hold the same percentage of the outstanding common stock immediately following the reverse split as that shareholder did immediately prior to the reverse split, except for minor adjustment due to the additional net share fraction that will need to be issued as a result of the treatment of fractional shares.
