The complaint against Global Power alleges that during the Class Period, the Company made false and/or misleading statements and failed to disclose that (1) the Company understated the cost of sales in its annual report for the year ended December 31, 2014; (2) the Company lacked adequate internal controls over its financial reporting; and (3) as a result of the foregoing, the Company's public statements were materially false and misleading at all relevant times.

On May 5, 2015, the Audit Committee of Global Power’s Board of Directors, working with outside consultants and management, concluded that the financial statements for the fiscal year ended December 31, 2014 could not be relied upon due to accounting errors. On May 6, 2015, Global Power announced that it was going to delay filing its 10-Q for the first quarter of 2015, and restate its results for the 2014 fiscal year. As a result of the news, Global Power’s common stock fell over 33% on May 7, 2015.
