VANCOUVER, BC--(Marketwired - August 14, 2015) - biOasis Technologies Inc. (TSX VENTURE: BTI) (OTCQX: BIOAF) (the "Company") wishes to announce that it will make an application to extend the exercise date of its 1,599,477 warrants currently exercisable until August 29, 2015 (the "Warrants"). The Warrants were issued with an original term of 12 months in connection with the closing of a private placement financing as announced by the Company on August 29, 2015. A total of 30,530 of the Warrants are held by an insider of the Company who participated in the private placement. The extension of the expiry of the Warrants is exempt from the valuation and minority shareholder approval requirements of Multilateral Instrument 61-101 ("MI 61-101") by virtue of the exemptions contain in section 5.5(a) and 5.7(1) (a) of MI 61-101 in that the fair market value of the consideration for the securities of the Company issued to an insider does not exceed 25% of its market capitalization.
Upon receipt of approval from the Exchange, the expiry date of the Warrants will change from August 29, 2015 to December 31, 2015. All other terms of the Warrants, including the exercise price, will remain the same.
