- 1.The Audit Committee's Charter
The Audit Committee Charter was adopted on July 7, 2015.
- 2.Composition of the Audit Committee
The members of the audit committee are: (1) Neal Allen, (2) Emilio DeJesus, and (3) Spero Plavoukos. Per the Audit Committee Charter, the majority of the members are (i) independent and (ii) each is financially literate.
- 3.Relevant Education and Experience of Audit Committee Members
Mr. Neal Allen, Dominovas Energy's Chairman and Chief Executive Officer. Mr. Allen's experience and expertise is utilized in a manner consistent with the duties, thereto. He is also charged with the title of Senior Strategist. Mr. Allen formerly served in the same capacity with Dominovas Energy, LLC. Prior to Dominovas Energy, LLC he served as the Principal Shareholder of a private Family Office, which specialized in the development and implementation of proprietary revenue models as a force multiplier ensuring optimal deployment, utilization, and management of financial resources. Under Mr. Allen's watch, the Family Office's endeavors included the ownership of: a "major brand" automobile dealership, several healthcare companies, waste management and disposal enterprises, land acquisition and development, and natural resource development enterprises. Mr. Allen majored in finance and studied law and is proud to be a University of Southern California Trojan.
Mr. Emilio DeJesus, Dominovas Energy Board Member and Special Advisor for Angola. Mr. DeJesus has managed large telecommunications projects over 15 years for a major fortune 500 company. His extended experience includes the deployment of new technologies within the Continental United States of America. He has engineered the creation of business in Asia, North America, and Africa. These businesses are profitable ventures along with providing training and job creation in emerging economies.
Mr. DeJesus has a Bachelor of Science in Electrical Engineering from Temple University in Philadelphia, Pennsylvania, USA; a Master's Degree in Telecommunications Management from the Stevens Institute of Technology in Hoboken, New Jersey; and a MBA from George Washington University in Washington, DC, USA. He also has extended Post Graduate certifications in Business Management and Technology, and he is also certified Lean Six Sigma Green Belt.
DeJesus is a member of IEEE, US-Angola Chamber of Commerce, and sits on the Board of Directors for Worldtibe Group International and Grupo Jemilce. These corporations have interests in the fields of cosmetics, transportation, commodities trading, oil waste management, agriculture, industrial cleaning, and real estate.
Mr. Spero Plavoukos Dominovas Energy Board Member. Currently, Mr. Plavoukos serves as Vice President of Pacific Design Center, with specific duties and responsibilities that include the management, special projects and special events of the campus, which is located in West Hollywood, California. The Pacific Design Center is comprised of over 1,750,000 square feet of Class "A" office and showroom space. Mr. Plavoukos' commitment to fiscal responsibility coupled with the implementation of unique, common sense, above-standard operating procedure, and the creation of event-savvy teams have consistently allowed his operations to experience unprecedented growth and profitability.
- 4.Audit Committee Oversight
Since the commencement of the Company's most recently completed financial year, there has been no recommendation of the audit committee to nominate or compensate an external auditor that has not been adopted by the board of directors.
- 5.Reliance on Certain Exemptions
Since the commencement of the Company's most recently completed financial year, the Company has relied upon the exemption in section 6.1 of National Instrument 52-110.
- 6.Pre-Approval Policies and Procedures
The audit committee has yet to adopt specific policies and procedures for the engagement of non-audit services other than those described in the Audit Committee Charter attached as Schedule "A" to this press release.
