According to the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants issued materially false and misleading statements and/or failed to disclose that: (i) its appeals and grievances procedures were not in compliance with federal standards; (ii) its noncompliance with federal standards posed a serious threat to the health and safety of Medicare beneficiaries; and (iii) as a result of the foregoing, its public statements were materially false and misleading at all relevant times. On January 22, 2016, Cigna filed a Form 8-K with the SEC, disclosing reporting that new enrollment in the company’s Medicare Advantage Health Plans for seniors and standalone Medicare prescription has been suspended by the federal government, citing noncompliance in Cigna's appeals and grievances procedures. Cigna stock dropped significantly immediately following this announcement.
