According to the complaint, the defendants are alleged to have violated
certain provisions of the Securities Exchange Act of 1934. Specifically,
the complaint alleges, among other things, that defendants issued
materially false and misleading statements regarding (1) Sempra’s
subsidiary SoCalGas lacked the capability to expeditiously repair gas
leaks, causing a public hazard; (2) an extended hazardous gas leak would
constitute a serious threat to public health and safety; and (3) as a
result, Sempra’s public statements were materially false and misleading
and/or lacked a reasonable basis at all relevant times. Sempra stock
dropped significantly immediately following this announcement.
