The investigation concerns whether the Company violated Sections 10(b)

investigation will focus on a February 23, 2016, Bloomberg Business report
that Brazilian police are pursuing a court order to arrest certain
Mineracao SA executives. This court order request follows the Brazilian
government’s November 27, 2015 statement that it was going to sue BHP
Billiton and its partner, Vale SA, over a catastrophic dam failure
earlier in the month.
