iCON Infrastructure LLP Receives Investment Canada Act Approval for Arrangement With Capstone Infrastructure Corporation

TORONTO, ONTARIO--(Marketwired - April 15, 2016) - Capstone Infrastructure Corporation ("Capstone" or the "Corporation") (TSX:CSE)(TSX:CSE.DB.A)(TSX:CSE.PR.A)(TSX:CPW.DB) announced today that pursuant to the terms of the Investment Canada Act, the Minister of Innovation, Science and Economic Development Canada has approved the investment contemplated by the previously announced plan of arrangement (the "Arrangement") under which, among other things, Irving Infrastructure Corp., a subsidiary of iCON Infrastructure Partners III, L.P. ("iCON III"), a fund advised by London, UK-based iCON Infrastructure LLP ("iCON Infrastructure"), is to acquire all issued and outstanding common shares of Capstone and Class B exchangeable units of Capstone's subsidiary MPT LTC Holding LP for $4.90 cash per share or unit, as applicable.

While all conditions relating to the receipt of securityholder, court and regulatory approvals have now been satisfied, completion of the Arrangement remains subject to the satisfaction or waiver of certain other closing conditions customary in transactions of this nature. Subject to the satisfaction or waiver of such remaining conditions, it is anticipated that the Arrangement will be completed on April 29, 2016.
