Proposed secondary block placing of up to 4,653,515 Ordinary Shares in ITE Group plc

ITE Group plc (ITE.L) (the "Company") today announces that the minority shareholders of Africa Oil Week Ltd ("AOW"), GPP Energy Advisors Limited ("GPP"), have exercised a put option (the "Put Option") in relation to 50% of its remaining shareholding in the AOW, pursuant to the terms of the acquisition agreement entered into between GPP and the Company in 2015. The Put Option provides for the issue of new ordinary shares in the Company (the "Shares") to be issued to GPP in consideration for the shares in AOW to be transferred to the Company in accordance with the Put Option. Consequently the Company will be issuing 4,653,515 Shares to GPP.

Concurrently GPP has advised the Company of its intention to sell the Shares (the "Placing Shares").  The Placing Shares will be offered to institutional investors (the "Placees") through an accelerated bookbuild to be carried out by Numis Securities Limited ("Numis") acting as sole bookrunner (the "Offering"). The book for the Offering will open with immediate effect.

To the extent not all of the Placing Shares are sold in the Offering, the remainder of the Company's shares held by GPP following the Placing will be subject to a lock-up of 30 days (subject to customary exceptions).

The sale is subject to demand, price and market conditions. The identity of Placees, the basis of the allocations and the total number of Placing Shares to be sold are at the discretion of GPP and Numis. The price at which the Placing Shares are to be placed will be agreed by GPP and Numis at the close of the bookbuilding process. The details will be announced as soon as practicable after the close of the bookbuilding process.
