On May 27, 2016, FEI announced it had signed a definitive merger agreement with Thermo Fisher Scientific. Under the terms of the agreement, FEI shareholders will receive $107.50 in cash per share of common stock they hold.  

The investigation concerns whether the FEI board failed to satisfy their duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for FEI shares of common stock.
