VANCOUVER, BRITISH COLUMBIA--(Marketwired - Dec. 15, 2016) - Kazax Minerals Inc. ("Kazax")
(TSX VENTURE:KZX) announces that it will be closing its Plan of Arrangement with 1069411 B.C. Ltd. ("Newco") on
or about December 16, 2016, effective upon Computershare Investor Services Inc. mailing out the cash purchase price to Kazax
shareholders. Newco is acquiring all of the outstanding common shares of Kazax that it does not already own, for $0.01 per
share (the "Transaction"). The Transaction was previously approved by Kazax's shareholders and by the BC
Supreme Court pursuant to a Plan of Arrangement under the Business Corporations Act (British Columbia).
The TSX Venture Exchange has issued a bulletin confirming that Kazax's shares will be delisted on December 15, 2016.
While the British Columbia issued a cease trade order against Kazax for failure to file its September 30, 2016 interim
financial statements in a timely manner, Kazax did apply for and receive a partial revocation order allowing for the Transaction
to be completed.
