SRG Graphite Closes Tranche 1 of $3M Strategic Equity Financing with CORIS Capital SA

Montreal, Quebec / TheNewswire / August 31, 2017 SRG Graphite Inc. (TSXV: SRG) (“SRG” or the “Company”) Is pleased to announce the closing of tranche 1 of the non-brokered private placement (the “ Private Placement ”) announced on August 15, 2017 with Coris Capital SA.  The Corporation has issued a total of 5,250,000 units (the “ Units ”) of SRG at a price of $0.40 per Unit for gross proceeds of CAD $2,100.000 .

 

Each Unit is comprised of one common share of the Company (a “ Share ”) and one-half of one non‑transferable share purchase warrant.  Each whole warrant (a “ Warrant ”) will entitle CORIS to purchase for a period of 24 months from the date of closing (the “ Expiry Date ”), one additional common share of the Company (a “ Warrant Share ”) at an exercise price of $0.50 per Warrant Share.

 

The remaining CAD$800,000 of the Private Placement will close on or before September 9, 2017 pending approval of documentation filed with the TSX-V.  

 

The Private Placement is subject to certain conditions including, but not limited to, the receipt of all necessary approvals, including the final approval of the TSX Venture Exchange.  All s ecurities issuable pursuant to the Private Placement are su b je c t t o a fou r mo n th h o ld p er i o d from the date of issuance in acc o r d a nc e w i th a pp lica b le Cana d ian s e cu r it i es l a ws.

 

No finders’ fees or commissions will be payable.  Net proceeds from the Private Placement will be used for exploration purposes and general working capital requirements.
