with the filing of early warning reports (the "Early Warning Reports") regarding the transfer by Patrice
Rainville ("Rainville") to Martin Bedard ("Bedard") of his shareholding interest
in the following corporate entities (collectively the "Registered Holders") which collectively are
registered holders of 47,157,780 common shares of the Company: 9168974 Canada Inc., 9169067 Canada Inc., 9169091 C
anada Inc., 9312-9377 Quebec Inc., 9316-8276 Quebec Inc., 9317-7996 Quebec Inc., 9317-8713 Quebec Inc.,
9134-8169 Quebec Inc, Blue Gestion et Investissements Inc. and Finexcorp Inc.
On October 5, 2017, Rainville transferred to Bedard his shareholdings in the Registered
Holders . After giving effect to the share transfers, Bedard has sole voting power, control and direction
over 50,146,131 Shares, representing 46.97% of the 106,766,869 common shares of the Company issued and outstanding as of October 5,
2017. Additionally, he has sole voting power, control and direction over up to 1,500,000 common shares issuable on conversion
of a convertible debenture, up to 1,500,000 common shares on the exercise of warrants and up to 2,000,000 common shares issuable on
the exercise of stock options.
After giving effect to the share transfers, Rainville has voting power, control and direction over 2,988,351 common shares, representing 2.8% of the 106,766,869 common shares of the Company issued and outstanding as of
October 5, 2017. Additionally, he has voting power, control and direction over 2,000,000 common shares issuable on the
exercise of stock options.
Beneficial ownership of the common shares of the Company were purchased and are presently being held for investment
purposes. In the future, Bedard may directly or indirectly acquire additional common shares of the Company or dispose of such
shares subject to a number of factors, including general market and economic conditions and other investment and business
opportunities available.
