QUÉBEC CITY, July 12, 2018 (GLOBE NEWSWIRE) -- Junex Inc. (“Junex”) (TSXV:JNX) announces that
it has mailed to its shareholders a management information circular dated July 6, 2018 (the “Circular”) in connection with the
proposed business combination between Junex and Cuda Energy Inc. announced on June 11, 2018 (the “Proposed Transaction”). Junex
obtained an interim order from the Superior Court of Québec on July 4, 2018 under which it will hold a meeting of its shareholders
on Thursday, August 2, 2018, at 11:00am at the Hotel Bonaventure in Montreal, Quebec, in order to vote on the Proposed Transaction.
The Proposed Transaction remains subject to customary closing conditions, including approval by Junex’s
shareholders and final approval from the Superior Court of Québec. Subject to satisfaction of these closing conditions, the
Proposed Transaction is expected to close on or about August 10, 2018.
Junex’s board of directors has unanimously recommended that Junex’s shareholders VOTE IN FAVOUR of the Proposed
Transaction. In addition, KPMG LLP, as financial advisor to Junex’s special committee, has provided Junex’s board with an opinion
that, the consideration to be received by Junex shareholders pursuant to the Proposed Transaction is fair, from a financial point
of view, to Junex’s shareholders. A copy of that opinion appears in the Circular.
