Acasti Pharma Prices C$24 Million Underwritten Offering

LAVAL, Quebec, Oct. 04, 2018 (GLOBE NEWSWIRE) -- Acasti Pharma Inc. (NASDAQ: ACST) (TSXV: ACST) (the “Company” or “Acasti”) is pleased to announce that, in connection with its overnight marketed public offering previously announced on October 3, 2018, it has entered into an underwriting agreement with Mackie Research Capital Corporation (the “Underwriter”) to sell 18,750,000 Class A Shares of the Company (“Common Shares”) at a price of C$1.28 per Common Share (the “Offering Price”), for aggregate gross proceeds to Acasti of C$24,000,000 (the “Offering”).

The Company has also granted the Underwriter an over-allotment option to purchase up to 2,812,500 Common Shares, at the Offering Price, exercisable at any time up to 30 days after the closing date of the Offering, for additional aggregate gross proceeds to Acasti of C$3,600,000.

Acasti’s TRILOGY Phase 3 clinical studies for its product candidate CaPre® (omega-3 phospholipid) are currently underway and will be conducted at approximately 140 sites across North America. This Offering, along with the concurrent U.S. Offering (as defined below), are intended to fund its TRILOGY Phase 3 program, to advance partnering discussions around the world and for working capital and general corporate purposes.

On October 4, 2018, the Company also priced a separate and concurrent underwritten public offering of Common Shares in the United States (the “U.S. Offering”) at a price of US$1.00 for total gross proceeds of US$16,600,000.

The net proceeds received by the Company from the Offering, together with cash on hand and the U.S. Offering, are intended to be used by the Company for the further development of CaPre and to complete the Company’s Phase 3 program through to topline results, including completion of clinical site activation, patient enrollment and randomization, and production of clinical materials (both CaPre and placebo) for the Company’s Phase 3 program; planning and initiation of the Company’s regulatory (NDA) submission; expansion of business development activities; working capital; and other general corporate purposes.

The Offering is being made pursuant to a short-form prospectus filed in each of the provinces of Québec, Ontario, Alberta, Manitoba and British Columbia, and otherwise by private placement exemption in those jurisdictions where the Offering can lawfully be made, including the United States and Europe. The Common Shares will not be registered under the U.S. Securities Act of 1933, as amended, or any state securities laws, and may not be offered or sold in the United States absent registration or an exemption from the registration requirements including to Institutional Accredited Investors pursuant to Regulation D of the United States Securities Act of 1993, as amended.
