The Marcus Corporation Announces the Commencement of Common Stock Offering by Selling
Shareholder
The Marcus Corporation (NYSE: MCS) (the “Company”) today announced the commencement of a registered public offering of 1,500,000
shares (the “Shares”) of the Company’s common stock, $1.00 par value per share, held by Southern Margin Loan SPV LLC (the “Selling
Shareholder”). The Company issued the Shares to the Selling Shareholder in connection with the closing of the Company’s acquisition
of the Movie Tavern in-theatre dining business (the “Movie Tavern Business”) on February 1, 2019. The underwriter will have a
30-day option to purchase up to an additional 225,000 shares from the Selling Shareholder. The Company will not offer or sell any
of the Shares in the offering and will not receive any proceeds from the sale of the Shares by the Selling Shareholder in the
offering.
Goldman Sachs & Co. LLC is acting as the underwriter for the offering, and may offer and sell or otherwise dispose of the
Shares from time to time in one or more transactions on the New York Stock Exchange, in the over-the-counter market, through
negotiated transactions or otherwise at prevailing market prices at the time of sale, at prices related to prevailing market prices
