program to repurchase up to 2,000,000 shares of the Company’s outstanding common stock (approximately 5% of outstanding shares as
of February 28, 2019). The program will be effective May 1, 2019 through September 30, 2021.
The Company may repurchase shares on the open market and/or in privately negotiated transactions, which may
include repurchases pursuant to Rule 10b5-1 trading plans, at times and prices considered appropriate, made from time to time at
