(NYSE: BRX) ("Brixmor" or the "Company") today announced that it has finalized its previously announced settlement with the Securities and Exchange Commission (the "SEC"). As disclosed in February 2019, the Company reached an agreement with the SEC with respect to non-GAAP financial reporting matters that occurred prior to 2016 under Brixmor's former management team. The agreement includes a civil penalty of $7.0 million, which was accrued by the Company in the fourth quarter of 2018, and a commitment to engage an independent consultant to assess the Company's current policies and procedures relating to certain non-GAAP performance measures.
This regulatory settlement also follows the previously disclosed resolution of all related shareholder litigation. The Company believes that no additional government proceedings relating to these matters will be brought against the Company.
The Company's Board of Directors and current management team are committed to maintaining best-in-class internal controls and financial reporting and corporate governance practices.
