CannAmerica Enters New Long-Term Licensing Agreement to Distribute Licensed Products in Colorado

VANCOUVER - TheNewswire - September 2, 2020 - CANNAMERICA BRANDS CORP. ("CannAmerica" or the "Company") (CSE:CANA) (CNSX:CANA.CN) (OTC:CNNXF) is pleased to announce that on August 26, 2020, it entered into a long-term licensing agreement (the "Agreement") and brand partnership with Arsenal Oils and Extracts ("Arsenal" or the "Licensee") under which Arsenal will have an exclusive license to manufacture and distribute CannAmerica branded products and Live Labs (the "Licensed Products") in Colorado.

Terms of the Agreement include:

  • - The initial term will be for a period of 5 years;

    - Payments are a flat fee per unit based on the use of the Company's Intellectual Property;

    - The Licensee will purchase all consumable ingredients, packaging supplies, and branded hardware exclusively from the Company;

    - The Licensee will follow formulations and processes provided by the Company; and

    - The Licensee will distribute CannAmerica branded products throughout the territory (Colorado).

The execution of this agreement coincides with the termination of the original agreement with Winkanda. The terms of the termination coincide with the transition of ownership of that company, allowing both sides to mutually terminate the original agreement without penalty. Additionally, the Company announced today that it has resolved to issue 538,503 new shares to certain consultants at a deemed price of $0.02 per share. The issuance of common shares is subject to the prior approval of the Canadian Securities Exchange.
