VANCOUVER, BC, Oct. 20, 2020 /CNW/ - Willow Biosciences Inc. (" Willow " or the " Company ") (TSX: WLLW) (OTCQX: CANSF) is pleased to announce that it is undertaking an overnight marketed public offering (the " Offering ") of equity units of the Company (the " Units ") for gross proceeds of approximately $8.0 million .
The Offering is expected to be priced in the context of the market, with the final terms of the Offering to be determined at the time of pricing. There can be no assurance as to whether or when the Offering may be completed, or as to the actual size or terms of the Offering. The closing of the Offering will be subject to market and other customary conditions, including receipt of all necessary approvals including the approval of the Toronto Stock Exchange.
The Offering is being led on a "best efforts" basis by ATB Capital Markets Inc., as lead agent on behalf of a syndicate of agents to be formed (collectively, the " Agents "). In addition, the Company intends to grant the Agents a 30-day option to purchase up to an additional 15% of the Units offered in the Offering on the same terms and conditions.
Net proceeds from the Offering are expected to be used for the commercialization of cannabigerol (CBG) and other portfolio cannabinoids of the Company, general and administrative expenses, working capital and general corporate purposes.
The Units will be offered in each of the provinces of Canada , other than Québec, pursuant to the Company's base shelf prospectus dated October 13, 2020 (the " Shelf Prospectus "). The terms of the Offering will be described in a prospectus supplement (the " Supplement ") to be filed with the securities regulators in each of the provinces of Canada , except Québec.
