Panorama Capital Corp. Announces Appointment of New Director and Provides Update on Non-Brokered Private Placement

Vancouver,BritishColumbia – TheNewswire - December 1,2021, Panorama Capital Corp.(TSXV:PANO.P)(the"Company") is pleased to announce the appointment of Michael Thomson as a director of the Company effective December 1, 2021. Mr. Thomson was previously a director of the Company from December 2018 to May 2021 and has been an officer of the Company since inception.

Further to its press release of October 18, 2021, the Company announces that it now intends to complete a non-brokered private placement of 2,400,000 common shares of the Company at a price of $0.05 per share (the "Offered Shares") for aggregate gross proceeds of $120,000 (the "PrivatePlacement").

The Offered Shares will be subject to a four-month hold period pursuant to securities laws in Canada and, where applicable,thepoliciesoftheTSX Venture Exchange (the “TSXV”).The Company intends to use the net proceeds from the Private Placement to identify and evaluate companies, assets or businesses with a view of completing a Qualifying Transaction (as defined in TSXV policy 2.4).

The Company currently anticipates that certain of its directors and officer may participate in the Private Placement. In such event, the Private Placement would be considered to be a related party transaction within the meaning of Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions.
