ISS Recommends Magnet Forensics Shareholders Vote FOR the Arrangement With Thoma Bravo

Largest proxy advisor is the second independent firm to recommend a vote FOR the all-cash transaction

Vote the “WHITE” Management proxy no later than 2:00 pm (Toronto time) on March 21, 2023

Magnet Forensics Inc. (the “Company” or “Magnet”) (TSX: MAGT), a developer of digital investigation solutions for enterprises and public safety organizations, is pleased to announce that leading independent proxy advisor Institutional Shareholder Services Inc. (“ISS”) has recommended Magnet shareholders vote FOR the plan of arrangement with Thoma Bravo (the “Arrangement”).

ISS’s recommendation follows that of independent proxy advisor Egan-Jones Proxy Services who also recommended Magnet shareholders vote FOR the Arrangement.

Public shareholders, being all shareholders other than the Rolling Shareholders1, will receive all-cash consideration of $44.25 per share. Shareholders are encouraged to vote FOR the Arrangement by no later than 2:00 pm (Toronto time) on March 21, 2023, being the proxy cut-off for the Company's special meeting of shareholders to be held on March 23, 2023 (the “Meeting”).

“We are pleased to receive ISS’s independent and well-considered recommendation for Magnet’s value maximizing transaction with Thoma Bravo. As shareholders are aware, the Special Committee and its independent advisors ran a robust process that considered alternatives to the Arrangement. Using their own analysis, ISS reached the same conclusion and recommended shareholders vote FOR the Arrangement,” said Carol Leaman, Chair of the Special Committee of Magnet’s board of directors.

In recommending that Shareholders vote FOR the Arrangement, ISS* concluded:

In respect of the valuation and consideration offered to Magnet Shareholders:

“…the offer represents a premium to the unaffected price, the sale process (and valuation) appears reasonable, and there are downside risks of non-approval.”

On the strategic rationale for the transaction:

“…management's pursuit of Grayshift prior to Thoma Bravo's eventual purchase seems to make a self- evident point as to extraction's strategic importance…”

“…the industrial logic of the proposed deal is not a point of contention from the dissident, and it has garnered recognition from the analyst community. These considerations suggest that management may be forced to pursue less attractive transactions to enhance in-house mobile extraction or allocate resources to develop those capabilities under a standalone scenario.”

The risks of non-approval by shareholders:

“… in the absence of a transaction, historical volatility could continue… the stock price has not always moved in tandem with positive results…market participants and observers could interpret non-approval of this transaction as the strongest strategic deal getting away from the company, which could adversely impact sentiment.”

“The standalone is also not an inherently safe path. In fact, there are known, credible headwinds that the company will likely need to navigate. Most importantly, management may be forced to pursue less attractive transactions to enhance in-house mobile extraction or allocate resources to develop those capabilities. At the same time, historical volatility makes it challenging to have faith in a sustained soft landing, despite positive results and share price momentum.”

With respect to the process:

“The special committee oversaw a market check that was tailored in scope and length…”

“…the number of parties either solicited or involved appears comparable to certain of the precedent transactions highlighted by the dissident…”

“…the process did not depart from a range of historical precedents.”

“MAGT shareholders reacted positively to announcement…”

Its assessment of the dissident’s alternative valuation arguments:

“…there is not enough evidence to conclude that the valuation supporting this transaction was not credible, which suggests that a reconfiguration of the process in this case would amount to an exercise in fitting data to the desired outcome rather than remedying a deficiency.”
