Klaviyo Announces Pricing of Initial Public Offering

Klaviyo, Inc. (“Klaviyo”) (NYSE: KVYO), the company that powers smarter digital relationships, today announced the pricing of its initial public offering of 19,200,000 shares of its Series A common stock at an initial public offering price of $30.00 per share. The offering consists of 11,507,693 shares of Series A common stock offered by Klaviyo and 7,692,307 shares of Series A common stock to be sold by certain of Klaviyo’s existing stockholders.

In addition, the underwriters will have a 30-day option to purchase up to an additional 2,880,000 shares of Series A common stock from certain of the selling stockholders at the initial public offering price, less underwriting discounts and commissions. The gross proceeds to Klaviyo from the offering, before deducting underwriting discounts and commissions and estimated offering expenses payable by Klaviyo, are expected to be approximately $345.2 million. Klaviyo will not receive any proceeds from the sale of shares by the selling stockholders. The shares are expected to begin trading on the New York Stock Exchange under the ticker symbol “KVYO” on September 20, 2023. The offering is expected to close on September 22, 2023, subject to customary closing conditions.

Goldman Sachs & Co. LLC, Morgan Stanley, and Citigroup are acting as lead book runners for the offering. Barclays, Mizuho, and William Blair are acting as joint book runners, Piper Sandler and Truist Securities are additionally acting as book runners, and Baird, Canaccord Genuity, Needham & Company, and TD Cowen are acting as co-managers.
