Energold Drilling Corp. ("Energold" or the "Company") (TSX VENTURE:EGD) is pleased to announce that it has completed its
previously announced marketed "best efforts" public offering (the "Offering") pursuant to which the Company issued 5,750,000
Units (each a "Unit") at a price of $1.00 per Unit for an aggregate gross proceeds of $5,750,000, including the full exercise of
the Agents' option to increase the Offering in the amount of $750,000. Each Unit consists of one common share (each, a "Share")
and one Share purchase warrant. Each warrant entitles the holder to purchase one Share at a price of $1.75 per Share for a period
of 18 months from the date of issuance. The Offering was conducted through a syndicate of agents led by Clarus Securities Inc.
and including M Partners Inc. (together, the "Agents").
In consideration for their services in connection with the Offering, the Agents received a cash commission of 6% of the gross
proceeds raised under the Offering as well as compensation options ("Compensation Options") equal to 6% of the number of Units
sold under the Offering. Each Compensation Option is exercisable by the Agents to acquire one Share at a price of $1.00 per Share
for a period of 18 months following the closing of the Offering.
The net proceeds of the Offering will be used by the Company to fund a portion of the Company's capital program, which
includes the purchase of two drilling rigs and ancillary supplies, and for working capital purposes. The objective is to extend
the Company's capability in technical mineral and water drilling programs in Africa.
