Aphria Inc. APHA

Aphria, which is headquartered in Ontario, produces and sells medicinal and recreational cannabis. The company operates through retail and wholesale channels in Canada and internationally. Aphria is a main distributor of medical cannabis to Germany and has operations in over 10 countries outside of Canada. However, it does not have exposure to the U.S. CBD or THC markets due to the constraints of federal prohibition. It has some U.S. exposure through the acquisition of SweetWater, a craft brewer

RE:Hmm this is interesting

RE:Hmm this is interestingthis is actually a fantastic find, where is it from?  Because no company in their right mind, let alone any company with an average lawyer, would ever agree to "freely" INDEMNIFY another company from any breach or harm that is already present.  Think about it, would you agree to insure your friend against any fraudulent activity when you're more than able to conduct a thorough background check?  NO, i didn't think so.

In essence, Scythian wouldn't be stupid enough to risk themselves to something of this magnitude.

Indemnification: Scythian has agreed to indemnify and save Aphria and its shareholders, directors, officers, employees, agents and representatives harmless of and from, and to pay for, any damages suffered by, imposed upon or asserted against it as a result of, in respect of, connected with, or arising out of, under, or pursuant to: (a) any breach or inaccuracy of any representation or warranty given by Scythian in the Share Purchase Agreement (whether in respect of the Target Corporations or in respect of Scythian);
